What ORS 63.111 Says About the Registered Office

Oregon requires the registered office to be a real, physical place. In the statute's own words, the registered office "may not be a commercial mail receiving agency, a mail forwarding business or a virtual office" (ORS 63.111(1)). Oregon is one of the few states that spells this prohibition out in the statute itself rather than leaving it to agency practice.

So a PO box won't work, a mailbox-store address won't work, and a virtual office subscription won't work. The registered office must be a street address where process can be personally served on the agent during normal business hours.

Who Can Serve as a Registered Agent in Oregon

ORS 63.111(2) lays out three categories of eligible agents:

  • An individual who resides in Oregon and whose business office is identical to the registered office
  • A domestic LLC, corporation, professional corporation, or nonprofit corporation whose business office is identical to the registered office
  • A foreign LLC, corporation, professional corporation, or nonprofit authorized to transact business in Oregon, again with a business office identical to the registered office

The common thread: whoever serves must actually operate from the registered office address. Individual owners with an Oregon street address often take the role themselves, especially early on.
